Terms of Service

1. Acceptance of terms

By accessing or using the Cognitude platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of service

Cognitude provides an AI-powered adaptive digital experience platform including an adaptive experience engine, CogBot AI assistant, content management system, client and operations portals, and associated analytics tools. Features and availability depend on your subscription plan.

3. Account registration

You must provide accurate and complete registration information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorised use at security@cognitude.ai.

4. Acceptable use

You agree not to:

• Use the Service to transmit unlawful, harmful, or fraudulent content.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Use the AI features to generate misinformation, discriminatory content, or content that violates applicable laws.
• Circumvent tenant isolation, access controls, or rate limits.
• Resell or sublicense access to the Service without prior written consent.

5. Intellectual property

The Cognitude platform, including its software, design, and documentation, is owned by Cognitude and protected by intellectual property laws. Your content (pages, rules, chatbot configurations) remains yours. You grant Cognitude a limited licence to host, process, and display your content to provide the Service.

6. Payment and billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in your subscription agreement. Failure to pay may result in suspension of Service.

7. AI-generated content

You are responsible for reviewing and approving any AI-generated content before publishing. Cognitude provides guardrails and audit logs to assist but does not guarantee the accuracy, completeness, or appropriateness of AI outputs. Do not rely on AI-generated content for legal, medical, or financial decisions without independent professional review.

8. Limitation of liability

To the maximum extent permitted by law, Cognitude shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Service availability

We target 99.9% uptime on Enterprise plans and make reasonable efforts on other plans. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by third-party services, force majeure, or events outside our reasonable control.

10. Termination

Either party may terminate the subscription with 30 days written notice. We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your data will be available for export for 30 days, after which it will be permanently deleted.

11. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of London, UK, unless otherwise required by applicable consumer protection law in your jurisdiction.
